This page contains separate terms for use of the public JNOW website and for purchased managed services.

2. Website Terms of Use

Effective Date: August 22, 2026

These Website Terms of Use ("Website Terms") govern access to jnow.io and related public pages operated by Metro Structured Holdings LLC, a Texas limited liability company doing business as Just North of Weird ("JNOW," "we," "us," or "our"). They apply to public website activity, including browsing, submitting an inquiry or form, requesting information, and using any public diagnostic or intake experience. By using the website, you agree to these Website Terms. If you do not agree, do not use the website.

2.1 Limited Scope and Business Audience

The website and JNOW's standard services are intended for businesses and authorized business representatives in the United States. They are not directed to consumers purchasing for personal, family, or household purposes or to children.

These Website Terms do not govern a purchased managed service or authorize JNOW to communicate, publish, configure systems, manage accounts, or take other action for a Customer. Those activities are governed by the accepted checkout or order, the Managed Services Agreement, the applicable service schedule, and, for Customer-directed personal-information processing, the Data Processing Addendum.

2.2 Informational Content

Website content describes JNOW's services and operating approach. It is general information, not legal, tax, medical, financial, cybersecurity, or other regulated professional advice. Examples, projections, diagnostic outputs, and illustrative results are not guarantees.

2.3 No Offer Until Accepted

Website descriptions may change and do not create a binding obligation or operational authority unless they are incorporated into an accepted order, the Managed Services Agreement, or an applicable service schedule. A website form submission, inquiry, or request for information does not authorize production activation or action on a Customer's behalf. If website copy conflicts with an accepted customer agreement, the customer agreement controls for the purchased service.

2.4 Permitted Use

This section governs use of the public website only. Permitted use of a purchased service, its connected platforms, and actions performed on a Customer's behalf is governed by Section 4.5 of the Service Terms of Use and the applicable service schedule.

You may use the website for lawful business purposes. You may not:

2.5 Intellectual Property

The website, its design, copy, graphics, software, trademarks, and other content are owned by or licensed to JNOW and are protected by applicable law. JNOW grants you a limited, revocable, non-exclusive right to view and use the website for its intended business purpose. No other license is granted.

The website may link to or use third-party services. Those services operate under their own terms and privacy practices. JNOW does not control and is not responsible for third-party content, availability, or changes.

2.7 Website Availability and Disclaimer

The website is provided "as is" and "as available." To the maximum extent permitted by law, JNOW disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. JNOW does not promise that the website will be uninterrupted, error-free, secure, or complete.

2.8 Limitation of Liability

To the maximum extent permitted by law, JNOW will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from website use. JNOW's aggregate liability arising solely from use of the public website will not exceed $100. This $100 cap does not apply to a purchased managed service, which is governed by the Service Terms of Use and its service-fee liability cap. This limitation does not apply where prohibited by law.

2.9 Privacy

JNOW's Privacy Policy explains separately how JNOW handles information for its own website and business purposes and how it handles Customer-directed service data. The Cookie and Tracking Notice applies to jnow.io and related public pages.

2.10 Changes

JNOW may update these Website Terms by posting a revised version and effective date. Continued use after the effective date constitutes acceptance of the updated Website Terms.

2.11 Governing Law and Contact

These Website Terms are governed by Texas law, without regard to conflict-of-law rules. Any permitted court action must be brought in a state or federal court serving Williamson County, Texas. Contact JNOW at help@jnow.io or 1025 Jennings Branch, Georgetown, Texas 78633.


4. Service Terms of Use (Managed Services Agreement)

Effective Date: August 22, 2026

These Service Terms of Use, set out in this Managed Services Agreement (the "Agreement"), are between Metro Structured Holdings LLC, a Texas limited liability company doing business as Just North of Weird ("JNOW"), and the business identified in the accepted checkout or order ("Customer"). They govern purchased managed services and the configured actions JNOW takes on Customer's behalf. They do not govern ordinary use of the public jnow.io website, which is covered by the Website Terms. The person accepting represents that they are authorized to bind Customer and grant the access and limited operational authority needed to provide the services.

4.1 Agreement Structure and Acceptance

This Agreement, the purchased service schedule, the accepted checkout or order, the Data Processing Addendum, and any written amendment form the complete agreement. If terms conflict, the order of precedence is: signed amendment, accepted order, service schedule, Data Processing Addendum for data-processing matters, and this Agreement.

Customer accepts by checking the required acceptance box and completing checkout, signing an order, or using a service after receiving these terms.

4.2 Customer-Directed Services and Authority

JNOW will provide the managed service described in the applicable service schedule. JNOW may make routine platform, provider, workflow, and configuration changes reasonably needed to operate, secure, or maintain the service. A material scope change requires written agreement.

Customer authorizes JNOW to perform the specific communications, publications, configurations, account-management steps, and other actions described in the purchased schedule and approved workflow. The accepted order, schedule, configuration, Customer approvals, and authorized support requests are Customer's instructions. JNOW has no authority to act outside that scope, change Customer's business policy, make commitments for Customer, provide regulated advice, or bind Customer to a third party unless Customer separately authorizes it in writing.

Services activate only after Customer supplies required access, information, approvals, and test participation. Payment does not by itself authorize production activation.

4.3 Fees, Renewal, and Taxes

Customer will pay the fees shown at checkout or in the order. Subscriptions renew automatically each month until cancelled. Billing begins at purchase. Customer-caused onboarding or approval delays do not pause billing.

Customer authorizes JNOW and Stripe to charge the selected payment method for recurring fees, approved one-time fees, applicable taxes, and approved changes. Customer is responsible for taxes imposed on its purchase, excluding taxes on JNOW's net income. JNOW may change recurring pricing by giving notice before the renewal at which the change applies.

4.4 Failed Payments and Cancellation

After an initial failed charge, JNOW will retry the charge up to two additional times during the following seven days and may notify Customer of the failure and retry schedule. If payment is not received during that seven-day period, the affected service will be cancelled. Cancellation does not waive amounts already due. JNOW may separately suspend or terminate service immediately when reasonably necessary to prevent unlawful use, security harm, platform-policy violations, medical, public-safety, or life-emergency misuse, or material harm to JNOW, Customer, or a third party.

4.5 Permitted Service Use and Customer Responsibilities

Customer may use a purchased service, its workflows, connected accounts, communications, and approved platforms only for lawful business purposes within the accepted order, applicable service schedule, approved configuration, and documented instructions. Customer may not use or direct the service to violate law or third-party rights; send unlawful, deceptive, infringing, malicious, or unauthorized content; misrepresent identity or authority; collect prohibited sensitive data; interfere with platform security or operation; or cause JNOW to act outside the limited authority granted for the service.

Customer will:

Customer remains responsible for its business decisions, professional obligations, customer relationships, and the accuracy of information communicated through the service.

4.6 Communications Compliance

Customer authorizes JNOW to send only the communications described in the applicable schedule and approved workflow. For those communications, Customer determines the business purpose, audience, source data, and approved message rules, and JNOW acts as Customer's configured service provider. Communications JNOW sends for its own billing, support, legal, security, or customer-relationship purposes are JNOW's own communications. Customer represents that contact information was lawfully collected and may be used for the approved purpose. JNOW and Customer will honor applicable opt-outs and suppression requests.

The standard services do not include unrelated marketing, outbound cold calling, medical, public-safety, or life-emergency forwarding or dispatch, or regulated advice. AI Receptionist may route an emergency service call for Customer's ordinary commercial service only as described in its schedule and approved workflow. A separate written scope and compliance review is required before any other use.

4.7 Third-Party Platforms

Services depend on third-party platforms, including Stripe, HighLevel, Google, telecommunications carriers, hosting providers, email providers, and AI providers. JNOW does not control their uptime, policies, pricing, features, moderation, delivery, ranking, suspension, or discontinuation decisions. JNOW remains responsible for reasonable management of its own work but is not liable for a third party's independent action or failure.

Customer authorizes JNOW to create or configure delegated access and approved integrations needed to provide the service. Customer must separately accept third-party terms that apply to Customer's own accounts.

4.8 Customer Data and Intellectual Property

Customer retains ownership of Customer data, trademarks, supplied content, and customer-specific deliverables created exclusively for Customer. Customer grants JNOW a limited license to host, access, copy, modify, transmit, and use that material only as needed to provide, secure, support, and improve the purchased service and comply with law.

JNOW retains ownership of its pre-existing and reusable tools, software, prompts, templates, workflows, methods, documentation, designs, know-how, and improvements. To the extent JNOW material is embedded in a customer-specific deliverable, JNOW grants Customer a non-exclusive license to use that material with the purchased service during the term and, for exported static deliverables, for Customer's internal business use after termination.

Feedback may be used by JNOW without restriction if it does not identify Customer or disclose Customer confidential information.

4.9 Confidentiality

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use confidential information only to perform or receive the services, protect it with reasonable care, and disclose it only to personnel and service providers with a need to know and appropriate obligations.

Confidential information excludes information that the receiving party can show was already known without restriction, becomes public without breach, is received lawfully from another source, or is independently developed. A party may disclose information when legally required after giving notice when permitted and reasonably cooperating with protective efforts.

4.10 Data Protection and Security

The Data Processing Addendum applies when JNOW processes personal information for Customer. JNOW will maintain reasonable safeguards and require its personnel and providers to handle Customer data consistently with their roles. Customer is responsible for configuring its own access, endpoints, devices, accounts, and data collection lawfully and securely.

If JNOW confirms a security incident involving Customer data in JNOW's control, JNOW will notify Customer without undue delay and provide reasonably available information needed for Customer's legal obligations. Notification is not an admission of fault.

4.11 Warranties

JNOW warrants that it will perform the service in a professional and workmanlike manner consistent with the applicable schedule. Customer's exclusive remedy for a verified breach is re-performance of the affected service or, if re-performance is not commercially reasonable, termination of the affected service and a refund of prepaid fees for the unused portion of the then-current billing period.

Except for that limited warranty, the services are provided "as is" and "as available." To the maximum extent permitted by law, JNOW disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing.

4.12 No Outcome Guarantee

JNOW guarantees only the defined managed workflow and reasonable operation of its own work. JNOW does not guarantee review volume, ratings, Google rankings, website traffic, revenue, leads, appointments, bookings, call outcomes, uninterrupted service, message delivery, publication by a platform, or a particular business result. JNOW does not control statements, ratings, or other content independently submitted by a Customer's customers, callers, reviewers, or other third parties.

4.13 Indemnification

Customer will defend and indemnify JNOW and its personnel against third-party claims arising from Customer data, Customer content, Customer instructions, Customer's products or services, Customer's failure to obtain required consent, unlawful communications, professional or regulated advice, account misuse, or Customer's breach of law or third-party policy.

JNOW will defend and indemnify Customer against a third-party claim that a customer-specific deliverable created solely by JNOW infringes a U.S. intellectual-property right. JNOW has no obligation for claims caused by Customer material, instructions, modifications, combinations not supplied by JNOW, continued use after notice, or third-party platforms. JNOW may modify or replace the affected material or terminate the affected service and refund prepaid fees for the unused portion of the current period.

The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation, and allow the indemnifying party to control the defense, provided no settlement admits fault or imposes non-monetary obligations on the indemnified party without consent.

4.14 Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

Each party's aggregate liability arising from the affected service will not exceed the fees actually paid for that service during the 12 months before the event giving rise to the claim. This cap does not limit Customer's payment obligations, either party's indemnification obligations, fraud, willful misconduct, or liability that cannot legally be limited.

4.15 Term, Cancellation, and Termination

The Agreement begins when Customer accepts it and continues while any service is active. Customer may cancel through help@jnow.io. Customer-requested cancellation takes effect at the end of the current paid billing period, and service continues through that date unless suspended for cause.

Either party may terminate an affected service for material breach if the breach is not cured within 10 days after written notice. Nonpayment is handled under Section 4.4. JNOW may terminate immediately for unlawful use, platform-policy violations that threaten access, medical, public-safety, or life-emergency misuse, prohibited sensitive-data use, fraud, or conduct creating material security or reputational risk.

4.16 Effect of Termination

At termination, Customer will pay amounts already due, JNOW will disable applicable workflows and delegated access, and each party will return or delete the other's confidential information as reasonably practicable and required by the Data Processing Addendum. Legal, security, backup, fraud-prevention, and billing records may be retained as required or reasonably necessary.

Customer is responsible for requesting any available export before the service ends. Platform limits may prevent complete export or immediate deletion.

4.17 Support

Support is provided through help@jnow.io during JNOW's then-current business support hours. Unless an order states otherwise, no 24/7 human support, guaranteed response time, service-level credit, or medical, public-safety, or life-emergency response is included.

4.18 Changes to Terms

JNOW may update this Agreement to reflect legal, security, platform, or service changes. JNOW will provide notice of material changes. A materially adverse commercial change applies no earlier than Customer's next renewal after notice unless law or an urgent security requirement requires earlier effect. Continued use after the applicable effective date constitutes acceptance; Customer may cancel before renewal.

4.19 General

The parties are independent contractors. Customer grants JNOW only the limited operational authority stated in the accepted order, applicable schedule, approved configuration, and documented instructions. That authority allows JNOW to perform configured actions on Customer's behalf but does not create a partnership, franchise, fiduciary relationship, employment relationship, or general agency, and does not allow either party to bind the other outside the agreed service scope. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. Customer may not assign this Agreement without JNOW's consent, except in a merger or sale of substantially all assets with notice; JNOW may assign it in connection with a reorganization, financing, or sale of the business.

Texas law governs without regard to conflict-of-law rules. Any permitted court action must be brought in a state or federal court serving Williamson County, Texas. The prevailing party may recover reasonable attorneys' fees where permitted by law.

Notices to JNOW must be sent to help@jnow.io. Notices to Customer may be sent to the account email. If part of this Agreement is unenforceable, it will be narrowed to the minimum extent necessary and the remainder will continue. Failure to enforce a term is not a waiver. Headings are for convenience. Electronic records and acceptance have the same effect as originals.

5. Cancellation and Refund Policy

Effective Date: August 22, 2026

This policy summarizes the cancellation and refund terms in JNOW's Managed Services Agreement. If it conflicts with the Agreement or a service schedule, the Agreement and schedule control.

5.1 Monthly Subscriptions

Subscriptions renew monthly until cancelled. To cancel, email help@jnow.io from an authorized customer address and identify the business and service. JNOW may verify authority before processing the request.

Customer-requested cancellation takes effect at the end of the current paid billing period. Service continues through that date unless suspended for unlawful use or another permitted cause. Failed-payment cancellation is governed separately by Section 5.5.

5.2 Refunds

Recurring fees are not prorated and are not refundable for a partially used month, customer-caused onboarding delay, unused capacity, or failure to use the service. JNOW may issue a refund for a confirmed billing error or at its discretion.

5.3 AI Receptionist Setup Fee

The AI Receptionist setup fee is refundable before JNOW begins discovery, scripting, integration, configuration, or similar setup work. Once that work begins, the fee is non-refundable.

5.4 Website Care Baseline Exception

If the purchased site fails JNOW's baseline health check, JNOW will not continue the standard subscription for a service it cannot reasonably provide. JNOW may offer a separate remediation scope. If Customer declines, JNOW will cancel the standard Website Care subscription and refund the initial monthly charge.

5.5 Failed Payments

JNOW will retry a failed charge up to two additional times during the seven-day period following the initial failed charge attempt. If payment is not received during that seven-day period, the affected service will be cancelled.

5.6 AI Receptionist Tier Changes

If an Essential account exceeds 150 answered calls during a billing cycle, JNOW will notify Customer and move it to Growth for the next billing cycle. JNOW does not charge surprise per-call overages. More than 500 answered calls requires a volume review and separately agreed pricing.

5.7 Refund and Cancellation Requests

Send requests to help@jnow.io. Ollie, JNOW's internal AI operations platform, or another automated system may acknowledge and route the request, but final decisions remain subject to JNOW's approved human-controlled rules.

6. Review Engine Service Schedule

This Service Schedule is part of the Managed Services Agreement and applies when Customer purchases Review Engine.

Customer authorizes JNOW to operate the approved review-request and review-response workflow on Customer's behalf for eligible completed customers. JNOW may act only within this schedule, the approved configuration, and Customer's documented instructions.

6.1 Service and Price

Review Engine is $297 per month, month-to-month, with no setup fee unless an accepted order states otherwise.

Repeat customers may receive another request after a new completed job, subject to opt-outs and reasonable frequency limits.

6.4 Review Integrity

The workflow must treat eligible completed customers consistently. JNOW will not perform review gating, sentiment filtering, fake-review generation, review suppression, or incentives conditioned on positive or negative sentiment. Customer may not instruct JNOW to do so.

JNOW has no control over whether a Customer's end customer responds, whether Google publishes or removes a review, or the star rating or comments that end customer independently chooses. To the maximum extent permitted by law and subject to the Agreement, JNOW cannot be held liable for a negative review star rating or negative comments given by a Customer's end customer. This does not excuse JNOW from liability that cannot legally be limited or from JNOW's own breach, fraud, or willful misconduct.

6.5 Review Responses and Escalation

After initial brand-voice calibration, approved responses may publish automatically. JNOW will escalate rather than auto-publish when a review includes threats, discrimination allegations, legal claims, medical information, employee disputes, or comparable sensitive content.

Customer remains responsible for its factual business positions and may request a lawful correction to future response guidance. Google determines whether reviews and responses are published, removed, or limited.

At termination, JNOW will disable the workflow and remove its delegated access as applicable. JNOW will preserve suppression information as reasonably necessary to prevent prohibited re-contact and will follow the Data Processing Addendum for other data.

7. AI Receptionist Service Schedule

This Service Schedule is part of the Managed Services Agreement and applies when Customer purchases AI Receptionist.

Customer authorizes JNOW to operate the configured AI Receptionist on Customer's behalf for approved inbound calls and related SMS, within Customer-approved handling, routing, scheduling, message-capture, and escalation rules. It may not bind Customer or make unapproved business or regulated decisions.

An emergency service call is an urgent request for Customer's ordinary commercial service. The receptionist may identify and route such a call under Customer's approved rules. It is not a medical, police, fire, public-safety, 911, or life-emergency forwarding or dispatch system. If a caller describes an imminent threat to health, safety, or life, the receptionist will direct the caller to 911 or the appropriate public emergency service rather than attempt to manage or forward that emergency.

7.1 Plans and Price

An answered call is a real inbound caller who speaks and receives a substantive response. Spam, blocked numbers, test calls, and immediate hangups do not count.

If Essential exceeds 150 answered calls during a billing cycle, JNOW will notify Customer and move the service to Growth for the next billing cycle. There is no per-call overage charge.

7.2 Included Service

The standard service includes:

JNOW will not activate the production receptionist until:

  1. Customer approves the knowledge and call-handling rules.
  2. Service-area, scheduling, transfer, and escalation constraints are defined.
  3. Normal, edge, and failure test calls meet the agreed test plan.
  4. Customer approves production behavior.
  5. A fallback is confirmed for platform or integration failure.

7.4 AI and Recording Disclosure

The receptionist will identify itself near the start of the call as automated or AI. If recording or transcription is enabled, the caller will also receive a clear notice. Customer authorizes these disclosures and may not instruct JNOW to conceal them.

HighLevel logs may contain conversation messages, transcripts, summaries, actions, errors, technical information, and recordings when enabled and available.

7.5 Operational SMS

SMS follow-up is limited to the caller's inquiry, booking, or requested information and does not authorize unrelated marketing. Messages will support an appropriate opt-out method, and applicable opt-outs will be suppressed.

Customer is responsible for ensuring that its requested use is lawful and consistent with the context in which the caller supplied the number. JNOW may refuse or pause a message flow that lacks a reasonable consent basis.

7.6 Customer Responsibilities

Customer must provide accurate and current:

7.7 Prohibited and Excluded Use

The standard service may not be used for:

Emergency service call routing may be configured only for urgent requests within Customer's ordinary commercial service and approved coverage rules. It must not be described or operated as medical, public-safety, 911, or life-emergency forwarding. Callers describing imminent harm must be directed to the appropriate public emergency channel.

7.8 Retention and Quality Review

JNOW will keep call data inside HighLevel where practical and limit access to service delivery, quality assurance, troubleshooting, reporting, security, and disputes. HighLevel does not currently provide custom retention policies. JNOW therefore does not promise automatic deletion after a fixed period.

At termination, JNOW will disable the agent and workflows and initiate the practical export or deletion process supported by HighLevel, subject to legal, security, backup, and billing-record exceptions.

7.9 No Guarantee

JNOW does not guarantee uninterrupted answering, successful transfers, appointments, revenue, caller satisfaction, transcript accuracy, or error-free AI output. The service is a managed first-response system with defined boundaries, not a substitute for Customer's human staff or professional judgment.

8. Google Business Profile Management Service Schedule

This Service Schedule is part of the Managed Services Agreement and applies when Customer purchases Google Business Profile Management.

Customer authorizes JNOW to use delegated manager access to perform the approved profile-management, posting, review-response, reporting, and related actions on Customer's behalf. Customer retains ownership and primary control of the profile and remains responsible for its business information and policy compliance.

8.1 Service and Price

The service is $397 per month per eligible location, month-to-month. Review Engine is included for the managed location. There is no setup fee for a clean, verified, policy-compliant profile with clear ownership. Suspensions, duplicates, ownership conflicts, and major remediation require a separate scope.

Google Business Profile is a Google service available without a management fee from Google. JNOW is an independent third-party provider and charges for JNOW's management work. JNOW is not Google and is not endorsed by Google.

Before management begins, Customer must:

Customer must supply accurate business information, approvals, lawful content, suitable photos, service details, and timely confirmation of suggested changes. Customer is responsible for ensuring that its real-world business, locations, categories, and service areas satisfy Google's policies.

8.5 Exclusions and Platform Control

The standard service excludes:

Google controls profile features, moderation, ranking, publication, suspension, and access. JNOW is not liable for Google's independent decisions but will reasonably manage JNOW's own work.

8.6 Reporting and Transparency

JNOW will distinguish Google Business Profile performance information from data from other platforms and provide an accessible report or direct access path. JNOW will communicate material profile changes and management fees clearly.

8.7 Termination and Access Removal

Customer may discontinue the service under the Cancellation and Refund Policy. Within seven working days after the relationship ends, JNOW will disassociate its management account and relinquish delegated permissions, subject to technical access and lawful preservation needs. Customer retains ownership and control of the profile.

9. Website Care Service Schedule

This Service Schedule is part of the Managed Services Agreement and applies when Customer purchases Website Care.

Customer authorizes JNOW to access, monitor, maintain, and make approved bounded changes to Customer's qualifying website on Customer's behalf. JNOW's authority is limited to this schedule and does not include changing Customer's legal positions, business policies, offers, or regulated content without written approval.

9.1 Service and Price

Website Care is $497 per month for one qualifying production website, month-to-month. No setup fee applies when the site passes JNOW's baseline health check.

9.2 Baseline Health Check

JNOW will evaluate platform, access, current condition, recovery path, and obvious security or operational issues. If the site fails the baseline check, JNOW will not keep the standard subscription running for a service JNOW cannot reasonably provide. JNOW may offer a separate remediation quote. If Customer declines, JNOW will cancel and refund the initial monthly charge.

9.3 Included Service

For a qualifying site, the standard service includes:

9.4 Monthly Change Allowance

JNOW determines in good faith whether a request fits the included 60-minute allowance. Bounded content, image, link, form, and configuration changes may qualify. New layouts, features, integrations, applications, portals, ecommerce work, and major creative production do not.

Unused minutes do not roll over and have no cash value. JNOW will quote larger work before beginning it.

9.5 Exclusions

JNOW will verify a reasonable backup and recovery path but does not guarantee zero data loss, instant recovery, uninterrupted hosting, or complete restoration. Customer authorizes reasonable emergency steps needed to contain an active ordinary website threat, but major cleanup or rebuilding requires a separate approved scope unless immediate action is reasonably necessary to prevent additional harm.

9.7 Customer Responsibilities

Customer must maintain lawful rights to the website and content, provide administrative access, maintain required licenses and hosting, approve material changes, and disclose known compromise or instability. Customer is responsible for the accuracy and legality of its content, offers, forms, tracking choices, and data collection.

9.8 Offboarding

At termination, JNOW will stop monitoring and routine changes, remove its delegated access where practical, and provide reasonably available configuration or change records. Customer remains responsible for hosting, domains, licenses, backups, and ongoing security after termination.

10. Data Processing Addendum

This Data Processing Addendum ("DPA") forms part of the Managed Services Agreement when JNOW processes personal information on Customer's behalf.

10.1 Roles and Scope

Customer is the controller or business responsible for determining why and how Customer end-user data is processed. JNOW is the processor or service provider for that data, except when JNOW processes information for its own billing, security, legal, or customer-relationship purposes.

This DPA does not govern information JNOW processes solely for its own public website, sales, checkout, billing, account administration, security, legal, or business-record purposes. Those activities are described in the Privacy Policy. When the same information is used in both contexts, each party's role is determined by the specific purpose for which that processing occurs.

Terms such as personal data, personal information, controller, processor, business, service provider, consumer, and data subject have the meanings given by applicable privacy law.

10.2 Customer Instructions

JNOW will process Customer personal information only to provide, secure, support, and improve the purchased service; comply with documented Customer instructions; and meet legal obligations. The Agreement, service schedule, configuration, and authorized support requests are Customer's documented instructions.

JNOW will inform Customer if an instruction appears to violate applicable privacy law and may pause the affected processing.

10.3 Customer Obligations

Customer represents that it has provided required notices and obtained all rights, consents, and lawful bases needed for the processing. Customer will not provide excluded sensitive information and will use reasonable data-minimization practices.

10.4 Confidentiality and Personnel

JNOW will limit access to personnel and contractors who need the information and are subject to appropriate confidentiality obligations. JNOW will provide reasonable privacy and security guidance to personnel with access.

10.5 Security Measures

JNOW will maintain reasonable measures appropriate to the nature of the processing, including as applicable:

Customer acknowledges that technical measures depend partly on the selected third-party platform and Customer's own configuration.

10.6 Subprocessors

Customer gives general authorization for JNOW to use subprocessors reasonably needed to provide the service. JNOW will maintain a current Subprocessor and Service Provider List and require subprocessors to protect personal information consistently with their role.

JNOW may replace or add a provider. When a change materially affects Customer data, JNOW will provide reasonable notice where practicable. Customer may object on reasonable data-protection grounds. The parties will work in good faith on an alternative; if none is commercially reasonable, either party may terminate the affected service.

10.7 Assistance and Rights Requests

Taking into account the nature of the processing, JNOW will reasonably assist Customer with verified privacy requests, security inquiries, and legally required assessments using information available to JNOW. Customer is responsible for communicating with the requesting individual unless law requires JNOW to respond directly.

10.8 Security Incidents

After confirming a security incident involving Customer personal information in JNOW's control, JNOW will notify Customer without undue delay. JNOW will provide reasonably available information about the nature of the incident, affected data, likely consequences, and mitigation. JNOW may provide information in phases as an investigation proceeds.

Customer is responsible for determining whether notice to individuals or regulators is required. JNOW will reasonably cooperate, and each party bears its own costs unless the incident resulted from the other party's breach.

10.9 Return and Deletion

At termination or written instruction, JNOW will disable applicable workflows and return or delete Customer personal information as reasonably supported by the platform, unless retention is required by law or reasonably necessary for security, fraud prevention, backup integrity, billing, or disputes.

HighLevel does not currently permit custom retention policies and may retain logs and metadata. Backup copies may remain until overwritten under provider schedules. JNOW will protect retained information and stop using it for active service delivery.

10.10 Audit Information

On reasonable written request no more than once annually, JNOW will provide available information reasonably needed to demonstrate compliance, subject to confidentiality, security, privilege, and third-party restrictions. On-site audits require a demonstrated material compliance concern, reasonable advance notice, minimal disruption, and Customer payment of reasonable costs unless the audit identifies a material JNOW breach.

10.11 U.S.-Only Standard Service

The standard service is offered to U.S. business customers and is not designed as an international data-transfer solution. If Customer requires processing governed by international transfer restrictions, the parties must agree to appropriate terms before that processing begins.

10.12 Processing Details

Subject matter: operation of the purchased managed service.
Duration: the service term plus limited retention described above.
Individuals: Customer personnel, prospects, completed customers, message recipients, callers, reviewers, and website visitors as applicable.
Data: identifiers, contact details, business information, communications, completion and request events, opt-out status, review content, call content and metadata, scheduling information, profile information, website support information, and service logs.
Sensitive data: not intended or authorized under the standard service; payment-card data, protected health information, medical or life-emergency data, and regulated-advice data are excluded.
Operations: collection, organization, storage, retrieval, transmission, analysis, response generation, support, security, deletion, and other operations needed for the service.

11. Subprocessor and Service Provider List

This list distinguishes providers used to deliver purchased managed services from providers used only for JNOW's general website and business operations.

11.1 Managed-Service Delivery

Stripe

Purpose: hosted checkout, payment processing, subscription billing, invoices, and payment records.
Data: purchaser and business details, transaction and subscription data, billing address where enabled, and payment-card data submitted directly to Stripe.
Scope: all purchased offers.

HighLevel

Purpose: customer records, communication workflows, review requests, opt-out suppression, reporting, and launch Voice AI.
Data: customer and end-customer identifiers, contact details, communications, review workflow data, call data, transcripts, summaries, recordings when enabled, and service logs.
Scope: Review Engine, included Review Engine within GBP Management, AI Receptionist, and related operational handoffs.

HighLevel identifies Retell AI, Synthflow, and Botpress as subprocessors for specific enabled AI features. JNOW will confirm and disclose which provider supports JNOW's selected Voice AI configuration before production activation.

Google Workspace

Purpose: email handling for support, privacy, cancellation, legal notices, and future human-supervised triage by Ollie, JNOW's internal AI operations platform.
Data: sender address, message content, attachments, routing information, and support records.
Scope: customer operations and JNOW business administration.

Google Business Profile

Purpose: profile management, posts, photos, performance information, reviews, and responses.
Data: business profile data, customer-supplied content, performance information, reviews, and responses.
Scope: GBP Management and review-response features.

11.2 General JNOW Website Providers

These providers support jnow.io but are not delivery subprocessors for Review Engine or AI Receptionist unless data from those offerings is intentionally routed through them.

Cloudflare

Purpose: DNS, website and Worker hosting, content delivery, security, challenge processing, traffic logs, and Web Analytics/RUM.

Google Tag Manager and Google Analytics

Purpose: tag delivery and website measurement.

Google Fonts

Purpose: browser delivery of website fonts. Visitor browsers contact Google font endpoints.

Anthropic

Purpose: AI processing for the separate general website diagnostic/intake experience. Anthropic is not currently part of Review Engine or AI Receptionist delivery.

Resend

Purpose: email delivery for separate general website contact, readout, and notification flows. Resend is not used to deliver Review Engine or AI Receptionist.

Cal.com

Purpose: general JNOW meeting-scheduling links. Cal.com is not used to deliver Review Engine or AI Receptionist.
